PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE CREATING AN ACCOUNT OR USING ANY SERVICES PROVIDED BY SHOS MED GLOBAL. BY CREATING AN ACCOUNT, CHECKING THE "I AGREE" BOX, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT CREATE AN ACCOUNT OR USE OUR SERVICES.

1. Definitions

  • "SHOS Med Global", "Company", "we", "us", or "our" refers to SHOS Med Global LLC, its founders, co-founders, employees, agents, officers, and affiliated mentors.
  • "Services" refers to all services offered through the SHOS Med Global website and related platforms, including but not limited to: educational mentorship, medical school application guidance, entrance exam preparation materials, Question Bank access, Exam Review Guide access, Research Course access, USMLE preparation guidance, residency application strategy, CV and personal statement review, mock interviews, consultation calls, study guides, entrance exam registration facilitation, and community access.
  • "User", "you", or "your" refers to any individual who creates an account, accesses the website, or uses any of our Services.
  • "Mentor" refers to any physician, advisor, or consultant providing guidance through SHOS Med Global.
  • "Content" refers to all materials, questions, explanations, study guides, research course modules, documents, recommendations, and communications provided through our Services.
  • "Question Bank" or "QBank" refers to our proprietary entrance exam practice question database, currently containing 1,089 original practice questions.
  • "Exam Review Guide" refers to our educational chapter content, currently containing 73 chapters covering Biology and Chemistry topics available through the dashboard.
  • "Research Course" refers to our 16-module research methodology course designed for residency applicants.
  • "Free Trial" refers to the seven (7) day trial period beginning at account creation, during which new users receive full access to the Question Bank and Exam Review Guide at no charge.
  • "Free Content" refers to Services and Content available at no charge to all registered users during the Free Trial period, including the full Question Bank, the full Exam Review Guide, and the first five (5) modules of the Research Course.
  • "Full Access" refers to the paid tier ($99 one-time payment) that grants 6-month access to the Question Bank and Exam Review Guide after the Free Trial period ends.
  • "Paid Services" refers to premium offerings requiring payment, including but not limited to: Full Access, personal mentoring sessions, the Research Strategy Package, individual consultation sessions, and entrance exam registration facilitation.
  • "LF3" or "Third Faculty of Medicine" refers to the Third Faculty of Medicine (3. lékařská fakulta) of Charles University in Prague, Czech Republic.

2. Description of Services

2.1 Overview

SHOS Med Global provides educational mentorship, exam preparation resources, research training, application guidance, and entrance exam registration facilitation for individuals pursuing medical education at European institutions and medical careers in the United States. Users select a pathway upon registration-either the Applicant Path (for prospective medical school applicants) or the Student Path (for current medical students and residency applicants)-which determines the content and features displayed in the user dashboard.

2.2 Applicant Path Services

The Applicant Path is designed for individuals applying to medical school and includes access to:

  • 3-Day Free Trial: All new accounts receive three (3) days of full access to the Question Bank (1,089 original practice questions) and Exam Review Guide (73 chapters) at no charge. After the trial period, access is locked until the user upgrades to Full Access.
  • Full Access ($99): A one-time payment granting 6-month access to the full Question Bank and Exam Review Guide. Includes one (1) QBank progress reset.
  • Personal Mentoring Session ($99/session): An optional add-on providing a 1-on-1 session with a physician mentor covering application review, exam strategy, interview preparation, or life in Prague guidance.
  • Entrance Exam Registration: Facilitation of registration for the LF3 entrance examination through SHOS Med Global as the official US agent (see Section 8). Available for applicants from the US and Canada. Contact us for details.

2.3 Student Path Services

The Student Path is designed for current medical students and residency applicants and includes access to:

  • Research Course (Modules 1–5 Free): The first five modules of our 16-module research methodology course are available at no charge to all registered users.
  • Research Strategy Package ($149): A paid service providing access to all 16 modules of the Research Course for six (6) months from the date of purchase, plus one (1) thirty-minute one-on-one consultation session with a mentor.
  • USMLE preparation guidance, residency application strategy, CV review, and mentorship services as described elsewhere in these Terms.

2.4 Free Trial and Free Content

All new accounts receive a seven (7) day free trial with full access to the Question Bank (1,089 questions) and Exam Review Guide (73 chapters). After the seven-day trial period, access to the Question Bank and Exam Review Guide is locked until the user purchases Full Access ($99 one-time payment). The first five (5) modules of the Research Course remain available at no charge to all registered users regardless of trial status. Free Trial content and Free Content are provided on an "as is" basis. Because no payment is made for Free Content, no refunds, credits, or compensation of any kind are owed in connection with Free Content or the Free Trial, including in the event of service interruptions, content changes, errors, or discontinuation of any Free Content.

2.5 Path Selection

Your selected pathway determines which features and content are displayed in your dashboard. SHOS Med Global reserves the right to modify the content available within each pathway at any time. Pathway selection does not create a contractual obligation to provide any specific set of features beyond what is described in these Terms.

3. Nature of Services

3.1 Educational and Informational Services Only

SHOS Med Global provides educational mentorship and informational guidance services only. Our Services are designed to share the personal experiences and knowledge of our mentors who have navigated the path from European medical education to US medical practice. All information, advice, guidance, strategies, and recommendations provided through our Services are based on the personal experiences and opinions of our mentors and are offered for educational and informational purposes only.

3.2 No Professional Advice

Nothing provided through our Services constitutes or shall be construed as:

  • Medical advice or a doctor-patient relationship
  • Legal advice or an attorney-client relationship
  • Immigration or visa advice or a consultant-client relationship
  • Financial advice or a fiduciary relationship
  • Academic counseling from an accredited academic institution
  • Official guidance from any university, examination body, licensing board, or government authority
  • Institutional research training or a substitute for formal research mentorship provided by an academic institution, residency program, or research institution

3.3 Research Course Educational Disclaimer

THE RESEARCH COURSE IS EDUCATIONAL CONTENT DESIGNED TO INTRODUCE RESEARCH METHODOLOGY CONCEPTS TO RESIDENCY APPLICANTS. IT IS NOT A SUBSTITUTE FOR INSTITUTIONAL RESEARCH TRAINING, FORMAL COURSEWORK IN BIOSTATISTICS OR EPIDEMIOLOGY, OR MENTORSHIP FROM A RESEARCH PRINCIPAL INVESTIGATOR. SHOS MED GLOBAL DOES NOT GUARANTEE THAT COMPLETION OF THE RESEARCH COURSE WILL RESULT IN PUBLICATION OF ANY RESEARCH PAPER, ACCEPTANCE OF ANY ABSTRACT OR MANUSCRIPT, OR ANY IMPROVEMENT IN YOUR RESIDENCY APPLICATION.

The Research Course provides general educational guidance on research methodology, study design, literature review, data analysis concepts, and manuscript preparation. All research guidance is for educational purposes only. Actual research conduct must be performed under appropriate institutional oversight, with proper IRB approval where applicable, and under the supervision of qualified research mentors at your institution.

3.4 Independent Decision-Making

You acknowledge and agree that all decisions regarding your education, career, medical school applications, examination preparation, residency applications, research activities, and related matters are solely your own responsibility. You should independently verify all information and, where appropriate, seek professional advice from licensed attorneys, immigration consultants, financial advisors, and academic counselors.

4. No Guarantees of Outcomes

4.1 No Guarantee of Admission or Acceptance

SHOS MED GLOBAL DOES NOT GUARANTEE, PROMISE, OR WARRANT THAT YOU WILL BE ADMITTED TO OR ACCEPTED BY ANY MEDICAL SCHOOL, UNIVERSITY, PROGRAM, OR EDUCATIONAL INSTITUTION, INCLUDING BUT NOT LIMITED TO CHARLES UNIVERSITY OR ANY OF ITS FACULTIES. Admission decisions are made solely by the respective institutions based on their own criteria, which may change at any time without notice.

Our application guidance services are designed to help you present the strongest possible application, but acceptance is never guaranteed regardless of the quality of your application or the extent of our guidance.

4.2 No Guarantee of Examination Results

SHOS MED GLOBAL DOES NOT GUARANTEE, PROMISE, OR WARRANT THAT YOU WILL PASS ANY EXAMINATION, ACHIEVE ANY PARTICULAR SCORE, OR ATTAIN ANY SPECIFIC RESULT ON ANY EXAM, including but not limited to: Charles University entrance examinations, USMLE Step 1, Step 2 CK, or Step 3, ECFMG certification examinations, any university coursework or clinical examinations, or any licensing or board examinations in any jurisdiction.

Our Question Bank, study materials, and exam preparation guidance are educational tools designed to supplement your independent study. Performance on examinations depends on numerous factors beyond our control, including but not limited to your individual preparation, prior knowledge, test-day conditions, examination content, and scoring criteria set by the examination body.

4.3 No Guarantee of Residency Match

SHOS MED GLOBAL DOES NOT GUARANTEE, PROMISE, OR WARRANT THAT YOU WILL MATCH INTO ANY RESIDENCY PROGRAM, FELLOWSHIP PROGRAM, OR ANY SPECIFIC MEDICAL SPECIALTY IN THE UNITED STATES OR ANY OTHER COUNTRY.

The residency match process (NRMP Match, SOAP, etc.) involves numerous factors outside our control, including but not limited to: the number of available positions, program preferences, interview performance, application volume, and the decisions of program directors and selection committees. Our mentorship services aim to help you build the strongest possible application, but matching is never guaranteed.

4.4 No Guarantee of Graduation

SHOS MED GLOBAL DOES NOT GUARANTEE, PROMISE, OR WARRANT THAT YOU WILL GRADUATE FROM ANY MEDICAL SCHOOL OR EDUCATIONAL PROGRAM.

Graduation depends on your own academic performance, attendance, conduct, and compliance with institutional requirements over the entire course of study.

4.5 No Guarantee of Licensure or Certification

SHOS Med Global does not guarantee, promise, or warrant that you will obtain ECFMG certification, a medical license, board certification, or any other professional credential in any jurisdiction. Certification and licensure requirements are set by independent regulatory bodies and are subject to change.

4.6 No Guarantee of Visa Approval or Immigration Status

SHOS Med Global does not guarantee, promise, or warrant that you will obtain a student visa, work visa, or any immigration status in the Czech Republic, the United States, or any other country. Visa and immigration decisions are made solely by government authorities. Any guidance we provide regarding visas or immigration is based on general knowledge and personal experience only and does not constitute immigration legal advice.

4.7 No Guarantee of Career Outcomes

SHOS Med Global does not guarantee, promise, or warrant any specific career outcome, including but not limited to: employment, income level, specialty placement, geographic placement, or professional advancement.

4.8 No Guarantee of Research or Publication Outcomes

SHOS MED GLOBAL DOES NOT GUARANTEE, PROMISE, OR WARRANT THAT YOU WILL PUBLISH ANY RESEARCH PAPER, HAVE ANY ABSTRACT ACCEPTED, OBTAIN ANY RESEARCH POSITION, OR ACHIEVE ANY SPECIFIC RESEARCH OUTCOME AS A RESULT OF COMPLETING THE RESEARCH COURSE OR RECEIVING RESEARCH GUIDANCE THROUGH OUR SERVICES.

Research publication depends on numerous factors beyond our control, including the quality of the research, institutional resources, journal selection, peer review outcomes, and the decisions of editors and reviewers. The Research Course is an educational resource and does not constitute research supervision or collaboration.

4.9 No Guarantee Regarding Financial Outcomes

Cost comparisons, tuition figures, financial estimates, and savings calculations presented on our website or in our materials are approximate, subject to change, and provided for informational purposes only. Actual costs may vary based on exchange rates, institutional fee changes, living expenses, personal circumstances, and other factors.

4.10 Individual Results Vary

Any statistics, success rates, match rates, completion rates, or similar data referenced on our website, in our materials, or in communications are provided for general informational context only and do not predict or guarantee your individual outcome. Past performance of our mentees, alumni, or any referenced population does not guarantee future results.

4.11 Marketing Language

Phrases used on our website such as "Everything You Need to Get Accepted," "Get Guided," "Succeed," "Match Day," "Your Path to Medicine Starts Here," or similar aspirational language describe the goals and intent of our Services, not guaranteed outcomes. Such language is used in its ordinary marketing sense and shall not be construed as a contractual promise, warranty, or guarantee of any result. You acknowledge that you understand these phrases are motivational and aspirational, and that no reasonable person would interpret them as binding guarantees of specific outcomes.

4.12 No Guarantee Regarding Student Loan or Financial Aid Eligibility

Any references to student loans, financial aid, or funding opportunities on our website are general information only. We do not guarantee eligibility for any financial aid, loan program, or scholarship. Financial aid availability depends on the policies of lending institutions, government programs, and educational institutions, which may change at any time.

5. Testimonials and Success Stories

5.1 Individual Experiences

Testimonials, success stories, reviews, and endorsements displayed on our website or in our materials represent the individual experiences of specific users and are not intended as a guarantee, promise, or prediction that you will achieve the same or similar results.

5.2 No Implied Guarantee

The display of any testimonial or success story shall not be interpreted as a claim that our Services will produce any particular outcome. The mention of specific outcomes (e.g., "Accepted to Charles University," "Matched into Internal Medicine") describes what happened for that individual only.

6. Question Bank, Exam Review Guide, Research Course, and Educational Content

6.1 Original Content

The Question Bank contains original practice questions created by SHOS Med Global. The Exam Review Guide contains original educational chapters covering Biology and Chemistry topics. The Research Course contains original educational modules covering research methodology. These materials are not official examination questions, course materials, or institutional curricula and are not sourced from, endorsed by, or affiliated with Charles University, the National Board of Medical Examiners (NBME), USMLE, ECFMG, or any other examination body or institution.

6.2 No Representation of Exam Content

Our practice questions are designed to cover topics that may be relevant to entrance examinations. However, we make no representation or warranty that our questions reflect the actual content, difficulty, format, or scoring of any official examination.

6.3 Supplementary Tool Only

The Question Bank, Exam Review Guide, Research Course, and all study materials are intended as supplementary educational tools only and should not be relied upon as the sole source of preparation for any examination, research endeavor, or application.

6.4 Content Accuracy

While we endeavor to ensure accuracy, we do not warrant that all content is free from errors. Science and medical knowledge evolve, and examination criteria change. Users are encouraged to verify information through authoritative sources.

6.5 Conference and Event Information

Certain Content, including but not limited to Research Course modules, may reference specific conferences, events, deadlines, submission dates, registration fees, or other time-sensitive information. SHOS Med Global does not guarantee the accuracy, completeness, or currency of any conference or event information. Conference organizers may change dates, deadlines, fees, locations, formats, and other details at any time without notice to SHOS Med Global. You are responsible for independently verifying all conference and event details directly with the organizing body. SHOS Med Global shall have no liability for any loss, expense, or missed opportunity arising from reliance on conference or event information presented in our Content.

7. Mentors and Advisors

7.1 Personal Experience and Opinions

Mentors provide guidance based on their personal experiences and professional opinions. What worked for one individual may not work for another. Mentors do not speak on behalf of any university, hospital, residency program, or regulatory authority.

7.2 No Agency or Employment Relationship

Mentors affiliated with SHOS Med Global are independent individuals sharing their expertise. Their participation does not create any agency, employment, partnership, or joint venture relationship with any institution where they are or were trained or employed.

7.3 Mentor Qualifications

While our mentors are licensed physicians, their role through SHOS Med Global is exclusively that of educational mentors and advisors. Their participation does not constitute the practice of medicine, law, immigration consulting, or any other licensed professional service.

7.4 Limitation on Mentor Liability

You agree that no individual mentor shall bear personal liability for outcomes arising from guidance provided through SHOS Med Global, to the maximum extent permitted by applicable law.

7.5 Session Recordings and Communications

You may not record, photograph, screenshot, or otherwise capture any mentorship session, consultation call, or private communication with any mentor without the express written consent of both the mentor and SHOS Med Global. Unauthorized recording may result in immediate account termination.

7.6 Mentors' Institutional Affiliations

Mentors may reference their training or employment history for credibility purposes. Such references are personal biographical information only and do not imply any endorsement, affiliation, or partnership between SHOS Med Global and any hospital, university, or medical institution where a mentor has trained or is employed.

8. Official US Representative Status and LF3 Relationship

8.1 Official US Representative

SHOS Med Global serves as the official United States representative of the Third Faculty of Medicine (LF3), Charles University, Prague, Czech Republic, for purposes of applicant outreach, entrance exam registration facilitation, and general information dissemination to US-based prospective students. This representative status has been authorized by LF3.

8.2 Scope of Representative Role

As the official US representative of LF3, SHOS Med Global facilitates communication between US-based applicants and LF3, assists with entrance examination registration logistics, and provides general information about the application process. This representative role does not grant SHOS Med Global any authority to make admissions decisions, modify academic requirements, waive institutional policies, set or modify tuition or fees, or bind LF3 to any commitment.

8.3 Institutional Independence

LF3 and Charles University are independent educational institutions that retain sole and absolute authority over all academic matters, including but not limited to: admissions criteria, entrance examination content and scoring, tuition and fee schedules, academic policies, curriculum, and degree conferral. SHOS Med Global has no control over and assumes no responsibility for any decisions, actions, or policies of LF3 or Charles University.

8.4 Information Accuracy Disclaimer

While SHOS Med Global endeavors to provide accurate and current information about LF3, all institutional information is subject to change by LF3 and Charles University at any time without notice to SHOS Med Global. You are encouraged to verify all institutional details directly with LF3.

9. Entrance Exam Registration

9.1 Registration Facilitation

SHOS Med Global facilitates registration for the LF3 entrance examination for US-based applicants in its capacity as the official US agent. SHOS Med Global acts solely as a facilitator and intermediary in the registration process. The entrance examination is created, administered, and scored entirely by LF3.

9.2 Exam Logistics

Examination dates, locations, formats, and logistics are determined by LF3 and are subject to change. SHOS Med Global will make reasonable efforts to communicate any changes to registered examinees but shall not be liable for any changes to examination logistics made by LF3, including but not limited to changes in date, time, location, format, or cancellation of the examination.

9.3 Exam Cancellation

If LF3 cancels an entrance examination, SHOS Med Global will make reasonable efforts to facilitate a refund of any examination registration fees collected by SHOS Med Global on behalf of LF3. SHOS Med Global shall not be liable for any costs, expenses, or damages incurred by you as a result of examination cancellation, including but not limited to travel expenses, accommodation costs, lost wages, or preparation costs. Refund of examination fees in the event of cancellation is subject to the policies of LF3.

9.4 Examination Fees

Examination registration fees collected by SHOS Med Global are collected on behalf of LF3. These fees are separate from any fees charged by SHOS Med Global for its own Services. SHOS Med Global does not set the examination fee amount, which is determined by LF3.

9.5 No Guarantee of Examination Availability

SHOS Med Global does not guarantee that entrance examinations will be offered in any particular location, at any particular time, or at all. Examination availability is solely at the discretion of LF3.

10. Third-Party Services and Institutions

10.1 Independent Third Parties

Our Services reference various third-party entities including Charles University, LF3, ECFMG, NBME, NRMP, ERAS, Stripe, Google, and WhatsApp. These are independent third parties over which SHOS Med Global has no control.

10.2 Relationship with LF3

As described in Section 8, SHOS Med Global is the official US representative of LF3. Notwithstanding this representative relationship, LF3 and Charles University remain independent institutions. SHOS Med Global's representative status does not constitute an endorsement by LF3 or Charles University of SHOS Med Global's educational content, mentorship services, or any guarantees made or implied by SHOS Med Global. The representative relationship pertains solely to applicant outreach and examination registration facilitation.

10.3 No Other Affiliation or Endorsement

Except as explicitly stated regarding LF3, SHOS Med Global is not officially affiliated with, endorsed by, sponsored by, or partnered with any other faculty of Charles University, the NBME, ECFMG, NRMP, or any hospital, residency program, or regulatory body.

10.4 Changes by Third Parties

Universities, examination bodies, and regulatory authorities may change their requirements, policies, tuition, and examination formats at any time without notice. SHOS Med Global is not responsible for any such changes.

11. User Responsibilities

11.1 Accurate Information

You agree to provide accurate, complete, and current information when creating an account and using our Services.

11.2 Age Requirement

You represent that you are at least 16 years of age. If you are between 16 and 18 (or the age of majority in your jurisdiction), your parent or legal guardian must have reviewed and agreed to these Terms on your behalf.

11.3 Assumption of Risk

You acknowledge that pursuing medical education and career applications involves inherent risks, uncertainties, and no guaranteed outcomes. You voluntarily assume all such risks.

11.4 Independent Verification

You agree to independently verify all information received through our Services before acting upon it, including application deadlines, documentation requirements, tuition costs, visa requirements, conference details, and institutional policies.

11.5 No Sole Reliance

You agree that you are not relying solely on our Services as the basis for any significant educational, financial, career, or life decision.

11.6 Community and Forum Conduct

When using the SHOS Med Global community forum or any interactive features, you agree to:

  • Post content that is respectful, relevant, and appropriate for an educational community
  • Not post content that is defamatory, harassing, threatening, discriminatory, or otherwise objectionable
  • Not post spam, advertisements, or promotional content for third-party services
  • Not impersonate any person, mentor, or SHOS Med Global representative
  • Not post confidential information about other users, patients, or institutions
  • Not share copyrighted materials belonging to third parties
  • Not use the forum to solicit personal information from other users

SHOS Med Global reserves the right to remove any forum content and suspend or terminate the accounts of users who violate these conduct standards, at our sole discretion and without prior notice.

12. Payments, Refunds, and Cancellations

12.1 Payment Terms

Payments are processed through third-party payment processors (currently Stripe). All prices are listed in US Dollars (USD) unless otherwise specified.

12.2 Free Trial

All new accounts receive a seven (7) day free trial with full access to the Question Bank and Exam Review Guide. The trial period begins at the time of account creation and cannot be paused, extended, or restarted. Because no payment is collected during the free trial, no refund policy applies. SHOS Med Global reserves the right to modify, limit, or discontinue the Free Trial at any time.

12.2a Full Access ($99)

  • Includes: Unlimited, non-expiring access to the full Question Bank and Exam Review Guide, plus one (1) QBank progress reset.
  • Refund policy: Full Access is non-refundable once purchased, as it grants immediate unlimited access to all content. If you experience a technical issue preventing access, contact us and we will resolve the issue or issue a refund at our discretion.

12.3 Research Strategy Package ($149)

  • Includes: Full access to all 16 modules of the Research Course for six (6) months from the date of purchase, plus one (1) thirty-minute one-on-one consultation session with a mentor.
  • Course access refund: Refund available within 7 days of purchase if fewer than two (2) paid modules (Modules 6–16) have been accessed. After accessing two or more paid modules or after 3 days (whichever comes first), no refund is available for the course access portion.
  • Consultation session: The included consultation session must be scheduled within the six-month access period. If cancelled more than 24 hours before the scheduled session, the session may be rescheduled once. Cancellations within 24 hours of the scheduled session are not eligible for rescheduling or refund. No refunds are available after a consultation session has been conducted.
  • Access expiration: Access to the Research Course expires six (6) months from the date of purchase, regardless of completion status. No refunds, extensions, or credits are provided for unused access time.

12.4 Personal Mentoring Sessions ($99/session)

  • Includes: One (1) personal 1-on-1 session with a physician mentor, covering application review, exam strategy, interview preparation, or life in Prague guidance.
  • Service delivery: Sessions must be scheduled within three (3) months of purchase. SHOS Med Global will make reasonable efforts to accommodate scheduling preferences, but session availability is subject to mentor availability.
  • Refund policy: Full refund available if cancelled more than 24 hours before the scheduled session. Cancellations within 24 hours may be rescheduled once but are not refundable.
  • No refunds are available after a session has been conducted.

12.5 Individual Consultation and Mentorship Sessions

  • Full refund available if cancelled more than 24 hours before the scheduled session.
  • Cancellations within 24 hours may be rescheduled once but are not refundable.
  • No refunds after a session has been conducted.

12.6 Entrance Examination Registration Fees

Examination registration fees are collected by SHOS Med Global on behalf of LF3. Refund of examination fees is governed by the refund policies of LF3, not SHOS Med Global. SHOS Med Global will facilitate refund requests but cannot guarantee that LF3 will approve any refund. See Section 9 for additional terms regarding entrance exam registration.

12.7 General Refund Terms

  • All refund requests must be submitted in writing to eli@shosmed.com.
  • Refunds will be processed to the original payment method within 10 business days of approval.
  • SHOS Med Global reserves the right to deny refund requests that do not meet the criteria specified above.
  • Chargebacks initiated without first requesting a refund through the process described above may result in account termination.

13. Intellectual Property

13.1 Ownership

All content on the SHOS Med Global website-including but not limited to Question Bank questions and explanations, Exam Review Guide chapters, Research Course modules, study materials, graphics, logos, and website design-is the exclusive intellectual property of SHOS Med Global and is protected by copyright, trademark, and other intellectual property laws.

13.2 Limited License

You receive a limited, non-exclusive, non-transferable, revocable license to access Content for personal, non-commercial educational use only. This license is conditional on your compliance with these Terms and may be revoked at any time.

13.3 Prohibited Uses

You may not:

  • Copy, reproduce, distribute, or share any Content by any means
  • Create derivative works based on our Content
  • Sell, license, or commercially exploit any Content
  • Use automated systems, bots, scrapers, or other tools to extract Content
  • Share account credentials with any other person
  • Screenshot, photograph, or otherwise capture and redistribute Question Bank, Exam Review Guide, or Research Course content
  • Remove, alter, or obscure any watermark, copyright notice, or other proprietary marking on any Content

13.4 Content Protection Measures

SHOS MED GLOBAL EMPLOYS TECHNICAL MEASURES TO PROTECT ITS CONTENT, INCLUDING BUT NOT LIMITED TO DIGITAL WATERMARKS, COPY PREVENTION, PRINT BLOCKING, AND RIGHT-CLICK DISABLING. YOU AGREE THAT YOU WILL NOT CIRCUMVENT, DISABLE, BYPASS, OR OTHERWISE INTERFERE WITH ANY CONTENT PROTECTION MEASURES IMPLEMENTED BY SHOS MED GLOBAL. Any attempt to circumvent content protection measures constitutes a material breach of these Terms and may result in immediate account termination without refund, as well as legal action.

Content viewed through our platform may contain visible or invisible digital watermarks that include identifying information such as your registered email address. These watermarks are used to identify the source of unauthorized distribution. By using our Services, you acknowledge and consent to the embedding of such watermarks in content you access.

13.5 User-Generated Content

By posting questions, answers, comments, or other content on the SHOS Med Global community forum or any interactive features, you grant SHOS Med Global a perpetual, non-exclusive, royalty-free, worldwide license to use, display, reproduce, modify, and distribute such content in connection with the Services. You retain ownership of your content but acknowledge that forum posts are visible to other users. We reserve the right to moderate, edit, or remove any user-generated content at our discretion without notice. You represent and warrant that any content you post does not infringe on the intellectual property rights of any third party.

14. Privacy and Data

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect personal information including name, email, selected pathway, study progress, notes, highlights, and usage data. We do not sell your personal data. Our website uses Firebase (Google) for authentication and data storage, and Stripe for payment processing. We implement reasonable security measures but cannot guarantee absolute security. Content views may include embedded watermark data as described in Section 13.4.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SHOS MED GLOBAL, ITS FOUNDERS, CO-FOUNDERS, MENTORS, EMPLOYEES, AGENTS, AND AFFILIATES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES, SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID TO SHOS MED GLOBAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE CONTENT AND SERVICES FOR WHICH NO PAYMENT WAS MADE, THE MAXIMUM LIABILITY SHALL BE ZERO DOLLARS ($0).
SHOS MED GLOBAL SHALL NOT BE LIABLE FOR ANY: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; damages arising from admission decisions, examination results, match outcomes, visa decisions, research outcomes, publication decisions, or any other third-party decisions; damages arising from any decision you make based on guidance received through our Services; damages arising from changes to examination schedules, locations, or cancellations by LF3 or any other institution; damages arising from reliance on conference, event, or deadline information presented in our Content; travel, accommodation, or preparation expenses incurred in connection with entrance examinations; or emotional distress arising from educational or career outcomes. THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY, EVEN IF SHOS MED GLOBAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

You agree to indemnify, defend, and hold harmless SHOS Med Global, its founders, co-founders, mentors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of our Services; your violation of these Terms; any claim that our guidance caused you harm (to the extent arising from your own decisions or omissions); your interactions with third parties in connection with our Services; any content you post on the community forum; and any dispute between you and LF3, Charles University, or any other third-party institution.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at eli@shosmed.com and allow thirty (30) days for informal resolution.

17.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Bergen County, New Jersey.

17.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17.4 Governing Law

These Terms shall be governed by the laws of the State of New Jersey, United States, without regard to conflict of laws principles.

17.5 Statute of Limitations

Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after the cause of action arises. Any claim not filed within this period is permanently barred.

17.6 Equitable Relief

Nothing in this section shall prevent SHOS Med Global from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

18. Account Termination

You may terminate your account at any time by contacting eli@shosmed.com. We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, circumvention of content protection measures, unauthorized distribution of Content, abusive conduct on the community forum, or any other cause we deem sufficient. Upon termination: your right to access all Services ceases immediately; any unused paid services are forfeited unless a refund is approved under Section 12; and your user-generated content may be retained or removed at our discretion.

19. Disclaimers

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT OUR SERVICES WILL MEET YOUR EXPECTATIONS, THAT OUTCOMES WILL BE ACHIEVED, OR THAT SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE MAKE NO WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT, INCLUDING CONFERENCE INFORMATION, DEADLINE DATA, OR INSTITUTIONAL DETAILS REFERENCED IN OUR MATERIALS.

20. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use after notification constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

21. Miscellaneous

These Terms constitute the entire agreement between you and SHOS Med Global regarding the subject matter herein and supersede all prior agreements and understandings. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision shall not constitute a waiver. You may not assign these Terms without our written consent. SHOS Med Global may assign these Terms in connection with a merger, acquisition, or sale of assets. SHOS Med Global shall not be liable for failures due to force majeure events, including but not limited to natural disasters, pandemics, government actions, or infrastructure failures.
